Do not assume anything transfers. Arkansas Department of Health food permits are not transferable to a new owner or a new location, so you are applying fresh and may face a plan review. Every ABC permit in the state expires on 30 June regardless of when you close. And an ABC permit requires an active and clear account with Miscellaneous tax, which means the seller's tax position becomes your timing problem.

Why does the closing date matter so much in Arkansas?

Because one date is fixed statewide. All Arkansas ABC permits expire on 30 June. Not twelve months from issue, not on your anniversary. 30 June.

Close in May and you may inherit a permit with weeks of life left, then immediately face renewal. The late fee schedule escalates in two steps: from 1 July to 29 August the added late fee is half the original permit price, and from 30 August to 28 October it goes higher again.

So the question at the negotiating table is not only what the business is worth. It is what month you are closing in, and who is handling the renewal that lands right behind it. Put it in writing.

Does the health permit come with the building?

No. Arkansas Department of Health food permits are not transferable to a new owner or a new location. The permit on the wall belongs to the seller's entity, and it does not convey with the keys.

You apply as a new operator. Contact your local county health unit early to find out whether a plan review will be required, because that answer changes your timeline more than almost anything else in the deal.

If you are also changing the menu or the equipment layout, expect that to increase the chance of a plan review. A buyer who plans to gut the kitchen should be talking to the health unit before signing, not after.

What is the tax clearance and why should I insist on it?

Arkansas DFA issues a tax clearance, sometimes called a certificate of tax standing. There is no fee for it, and DFA describes it as a wise procedure for prospective purchasers of a business.

You want it because an ABC permit requires an active and clear account with Miscellaneous tax. If the seller is behind, your permit timeline is hostage to somebody else's filing history.

Ask for it early and make it a condition. It costs nothing and it surfaces problems while you can still walk away. Ask your attorney specifically how Arkansas treats liability for a seller's unpaid sales tax in an asset purchase, because that is a legal question with real money attached and it deserves a proper answer rather than a blog's.

What else does ABC require of the person holding the permit?

An ABC permit holder must live in Arkansas, hold a valid Arkansas identification card, and have a primary residence in the state. If you are buying from out of state, that is a structural question to solve before closing, not after.

A few operating rules worth knowing on day one. With an existing ABC permit you cannot give alcohol away for any reason, which rules out the complimentary welcome drink some new owners plan. Third party delivery services need their own Third Party Delivery permit under Act 157. And the 1,000 foot distance rule from schools and churches applies to retail liquor stores, not to a restaurant serving alcohol.

Arkansas also does not require servers or bartenders to hold a state certification, and ABC does not issue individual server permits. Any training you run is your own policy, which is worth having anyway.

What changed for private clubs in 2025?

Act 762 of 2025, effective 5 August 2025, removed the requirement that a private club also be a non-profit 501(c)(3).

That matters in the roughly half of Arkansas that is dry, where restaurants serving alcohol have historically operated under private club permits with a non-profit structure attached. If you are buying a private club, the structure you are inheriting may predate the change.

Ask what the entity actually is now, and confirm the current requirements with ABC directly. This is recent enough that plenty of published guidance still describes the old rule.

Where the point of sale fits, and when to deal with it

Later than the permits, earlier than you think. The system you inherit is usually the seller's, on the seller's merchant account, and it does not simply become yours. The processing relationship is a contract in the seller's name.

Two things to establish during diligence. Who owns the hardware, because leased terminals are a liability you may be assuming. And what the current effective rate is, because a seller who never renegotiated it may be handing you a bad deal along with a good restaurant.

Then plan the cutover for a slow week, never a Friday and never a holiday. Your menu should be built and tested before you take the keys, not during your first service.

Bring your accountant in on the clearance and your attorney in on the permits. We handle the last part.
